For purposes of this Privacy Statement, “personal information” means information that, alone or in combination with other information held by the Firm, identifies or could reasonably be used to identify you. FLI acts as the data controller or business, as applicable, with respect to the personal information it processes, and maintains policies, procedures, and safeguards designed to support compliance with applicable data protection and privacy laws, including, where applicable, the General Data Protection Regulation (“GDPR”) and the CCPA. Information We Collect

FLI may collect personal information in the course of operating its website, conducting its business, and providing professional services. Categories collected may include, depending on the context:

Where applicable under data protection laws, FLI processes personal information on one or more of the following lawful bases:

  • Performance of a contract, or steps taken at your request prior to entering into a contract;

  • Compliance with applicable legal or regulatory obligations;

  • Legitimate business interests of the Firm, including: preventing fraud, managing and administering the Firm’s business and operations, maintaining client and business records, communicating with existing contacts about services, and ensuring the security and integrity of the Firm’s systems — provided such interests are not overridden by your rights and interests;

  • Consent, where required by applicable law.

 FLI processes personal information as reasonably necessary to: provide and administer professional services; manage client, vendor, and business relationships; respond to inquiries and communications; conduct billing, accounting, and compliance activities; satisfy legal, regulatory, and professional obligations; maintain the security and integrity of its systems; and pursue the legitimate business interests described above.

Information Sharing

FLI may share personal information with:

  • Employees, independent contractors, affiliates, and third-party service providers acting under appropriate confidentiality and data protection obligations;

  • Professional advisers, co-advisors, and counterparties involved in providing services to you, subject to appropriate confidentiality arrangements;

  • Financial institutions and technology and administrative service providers;

  • Governmental, regulatory, or law enforcement authorities where required or permitted by law;

  • Third parties in connection with corporate transactions, reorganizations, or similar events.

FLI does not sell personal information and does not knowingly share personal information for purposes that would constitute a “sale” or “sharing” under applicable privacy laws.

Data Transfers

FLI operates internationally and may transfer or access personal information across borders, including to jurisdictions that may not provide the same level of data protection as your jurisdiction. Where required by applicable law, such transfers are subject to appropriate contractual, organizational, and technical safeguards, including measures consistent with applicable data protection requirements. FLI does not represent that any particular jurisdiction has been deemed “adequate” by a regulatory authority.

Data Retention

FLI retains personal information for as long as reasonably necessary to fulfill the purposes described in this Privacy Statement, to comply with legal, regulatory, tax, accounting, and professional obligations, and to establish, exercise, or defend legal rights.

With respect to records maintained for anti-money laundering and know-your-client compliance purposes, FLI retains such records for a minimum of five (5) years following the end of the relevant business relationship, or such longer period as required by applicable law.

Retention periods may be extended where required by applicable law, regulatory requirements, or legal holds. Where appropriate and practicable, information may be retained in anonymized or aggregated form.

Your Rights

Depending on your jurisdiction, you may have certain rights with respect to your personal information, which may include rights of: access to your personal information; correction of inaccurate data; deletion or erasure, subject to applicable limitations; restriction of or objection to processing; and data portability, where applicable.

The exercise of such rights is subject to limitations and exemptions under applicable law, including requirements to verify your identity, legal professional privilege, confidentiality obligations, regulatory retention requirements, and the Firm’s obligations under tax, anti-money laundering, and sanctions laws.

FLI will respond to verifiable requests within the timeframe required by applicable law, which is generally thirty (30) to forty-five (45) days from receipt, subject to any extensions permitted by law. Requests may be submitted using the contact details provided above.

Electronic Communications

FLI communicates using electronic means, including email, cloud-based platforms, document management systems, and messaging tools, where requested or appropriate. While the Firm maintains reasonable administrative, technical, and organizational safeguards, no electronic transmission or storage system is guaranteed to be fully secure.

Any information transmitted to FLI prior to the formal establishment of an engagement is transmitted on a non-confidential basis and at the sender’s own risk. Once an engagement has been formally established pursuant to an Engagement Document, FLI’s information security and confidentiality obligations under the Terms of Service apply to client information received thereafter.

By communicating electronically with the Firm or requesting the use of such methods, you acknowledge and accept the inherent risks of electronic communications.
